Terms of Service

1. Acceptance of Terms

By accessing or using EZSpell's website, applications, and services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of a school, district, or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

EZSpell is an AI-powered spelling education platform that provides interactive spelling games, adaptive learning, progress tracking, classroom management tools, and accessibility features for students, parents, teachers, and administrators. The Service is available through web browsers and may be accessed on desktop and mobile devices.

3. User Accounts

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and accept responsibility for all activities under your account
• Promptly notify us of any unauthorized use of your account
• Not create accounts for children under 13 unless you are their parent, guardian, or authorized teacher

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for more than 12 months.

4. Subscription & Payment

4.1 Free Plan

EZSpell offers a free plan with limited features. The free plan is available indefinitely and does not require payment information.

4.2 Paid Plans

Paid plans are billed monthly or annually as selected at the time of purchase. All paid plans include a 14-day free trial. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

4.3 Price Changes

We may change our pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle after 30 days' written notice.

4.4 School & District Licensing

School and district plans are governed by separate licensing agreements. Volume pricing and terms are negotiated on a per-organization basis.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Upload viruses, malware, or other harmful code
• Scrape, data mine, or use automated tools to access the Service without our consent
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Use the Service to harass, abuse, or harm others
• Reverse engineer, decompile, or disassemble any aspect of the Service

6. Intellectual Property

The Service, including all content, features, functionality, software, text, graphics, logos, and design elements, is owned by EZSpell, Inc. and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any part of the Service without our prior written consent.

7. User Content

You retain ownership of any content you submit to the Service (such as custom word lists or messages). By submitting content, you grant EZSpell a non-exclusive, worldwide, royalty-free license to use, copy, modify, and display that content solely for the purpose of operating and improving the Service. We do not claim ownership of user-generated content and will not use it for marketing purposes without explicit consent.

8. Termination

You may terminate your account at any time by contacting us or through your account settings. We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service ceases immediately. We will delete your personal data in accordance with our Privacy Policy.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EZSPELL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. EZSPELL IS AN EDUCATIONAL TOOL AND DOES NOT GUARANTEE SPECIFIC LEARNING OUTCOMES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZSPELL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the federal or state courts located in Delaware.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last updated” date. For significant changes, we will provide additional notice (such as email notification or an in-app banner). Your continued use of the Service after changes constitutes acceptance of the updated Terms.
